Terms of Service

By accessing or using Cowboy CRM, you agree to be bound by these Terms of Service. If you do not agree to these terms, do not use the platform. Questions? Contact legal@cowyboymanager.com.

1. Definitions

  • "Platform" means the Cowboy CRM software, including all 14 modules, APIs, and related services provided by GNM Group.
  • "Client" or "you" means the enterprise organization that has entered into a service agreement with GNM Group.
  • "User" means any individual authorized by Client to access the Platform under Client's account.
  • "Client Data" means all data inputted into the Platform by Client or its Users, including contact records, call logs, deposit data, and operational records.
  • "GNM Group" means the company operating Cowboy CRM at cowyboymanager.com.

2. License and Access

Subject to these Terms and payment of applicable fees, GNM Group grants Client a non-exclusive, non-transferable, revocable license to access and use the Platform during the term of the service agreement, solely for Client's internal business operations.

This license does not permit:

  • Sublicensing, reselling, or providing Platform access to third parties outside of Client's organization
  • Reverse engineering, decompiling, or attempting to extract source code from the Platform
  • Modifying, creating derivative works of, or copying the Platform
  • Using the Platform to develop a competing product or service
  • Removing or obscuring any proprietary notices, trademarks, or branding from the Platform

3. Account Responsibilities

Client is responsible for:

  • Maintaining the confidentiality of all account credentials
  • All activities that occur under Client's account
  • Ensuring Users comply with these Terms
  • Promptly notifying GNM Group of any unauthorized access or security breach
  • Maintaining accurate account information including current contact details and billing information

4. Client Data and Ownership

Client retains full ownership of all Client Data. GNM Group does not claim any intellectual property rights over Client Data. GNM Group processes Client Data solely to provide the contracted services and will not use, access, or disclose Client Data for any other purpose.

Client represents and warrants that it has all necessary rights, consents, and permissions to upload Client Data to the Platform, and that Client Data does not violate any applicable law or third-party rights.

5. Fees and Payment

Fees are specified in the service agreement between Client and GNM Group. Standard pricing is published at cowyboymanager.com/pricing. The following terms apply unless the service agreement specifies otherwise:

  • Fees are billed monthly in advance based on active seat count
  • Lead volume and AI token usage fees are billed monthly in arrears based on actual usage
  • Payment is due within 14 days of invoice date
  • Late payments accrue interest at 1.5% per month on the outstanding balance
  • GNM Group reserves the right to suspend access for accounts more than 30 days past due

6. Acceptable Use

Client agrees not to use the Platform to:

  • Violate any applicable law, regulation, or third-party rights
  • Contact individuals listed on Do Not Contact (DNC) registries
  • Transmit malicious code, spam, or unauthorized communications
  • Attempt to gain unauthorized access to any system or network
  • Circumvent security controls or access limitations within the Platform
  • Store or process personal data in violation of applicable data protection laws

7. Service Availability and Support

GNM Group will use commercially reasonable efforts to maintain Platform availability of 99.9% uptime measured monthly, excluding scheduled maintenance windows communicated at least 24 hours in advance.

Support is provided via email to active enterprise clients. Response time targets and escalation procedures are specified in the service agreement. GNM Group does not provide public support for unlicensed or trial access.

8. Intellectual Property

The Platform, including its AI routing algorithm, user interface, source code, documentation, and all associated intellectual property, is owned exclusively by GNM Group. The core routing algorithm is protected under PCT international patent pending application. All rights not expressly granted in these Terms are reserved by GNM Group.

Nothing in these Terms transfers any intellectual property rights to Client. The name "Cowboy CRM," the Cowboy CRM logo, and associated trademarks are the property of GNM Group.

9. Confidentiality

Both parties agree to maintain the confidentiality of the other party's confidential information and not to disclose such information to third parties without prior written consent. Confidential information includes pricing, technical specifications, Client Data, and proprietary business information. This obligation survives termination of the service agreement for a period of three years.

10. Limitation of Liability

To the maximum extent permitted by applicable law, GNM Group's total liability for any claims arising under these Terms shall not exceed the total fees paid by Client in the 12 months preceding the claim. GNM Group shall not be liable for indirect, incidental, consequential, or punitive damages, including loss of revenue, loss of data, or business interruption, even if advised of the possibility of such damages.

11. Indemnification

Client agrees to indemnify, defend, and hold harmless GNM Group and its officers, directors, employees, and agents from any claims, losses, liabilities, damages, and expenses (including legal fees) arising from: (a) Client's use of the Platform in violation of these Terms; (b) Client Data or Client's business operations; or (c) any claim that Client Data infringes any third-party right.

12. Term and Termination

These Terms remain in effect for the duration of the service agreement. Either party may terminate the agreement with 30 days written notice. GNM Group may terminate immediately upon material breach that is not cured within 10 days of written notice. Upon termination:

  • Client's access to the Platform is revoked immediately or at end of notice period
  • Client Data is retained for 90 days and then purged, unless an earlier deletion is requested in writing
  • Outstanding fees remain due and payable

13. Governing Law

These Terms are governed by the laws of Israel, without regard to conflict of law principles. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts of Tel Aviv, Israel, unless the service agreement specifies a different governing jurisdiction.

14. Changes to These Terms

GNM Group may update these Terms with 30 days advance written notice to active enterprise clients. Continued use of the Platform after the effective date of updated Terms constitutes acceptance of the changes.
